In the late 1980s there was a series of sensational business scandals in the United Kingdom. There was particular public outrage at the plundering of pension funds by Robert Maxwell, at the failure of auditors to expose the impending bankruptcy of the Bank of Credit and Commerce International, and at the apparently undeserved high pay raises received by senior business executives. The City of London responded by creating a special committee to examine the financial aspects of corporate governance. This paper (...) describes the resulting Code of Best Practice produced by the Cadbury Committee. To reduce the power of executive directors in the boardroom the Code recommends a greater role for non-executive directors, changes in board operations, and a more active role for auditors. The paper reviews the various published reactions to the Cadbury Report, and concludes that the Code is unlikely to halt the incidence of business scandals in the United Kingdom. (shrink)

Improvising selected tools from Kress and Van Leeuwen’s inter-semiosis framework, this study explores how, between global and local, TV commercials in India often reframe a cultural third space producing new discursive forms and identities. Three commercials from the food and beverage category are selected on the basis of the country of origin of the endorsing company and the patterns of glocalization. Multimodal discourse analysis reveals that the commercials construct the glocal identity in several ways. In the Knorr Soups commercial, the (...) melody of the title song is contemporary pop, whereas the delivery style and crooning are distinctively Western. The language is predominantly Hindi with deft use of selected English words. The Funda Mint commercial casts a rebel voice-support executive who rejects the pseudo-glocal identity and asserts his true identity. In the Cadbury Bournvita Folk commercial, the two boys represent the global and the local in the realm of creativity. The study advances the knowledge of product positioning and brand identity involving the intersemiosis of discursive elements from different cultural spaces within the contemporary Indian consumerist culture. Following the recent challenges posed by the Cadbury Nigeria Plc, this paper examines shareholder activism in an evolving corporate governance institutional context and identifies strategic opportunities associated with shareholders’ empowerment through changes in code of corporate governance and recent developments in information and communications technologies in Nigeria; especially in relation to corporate social responsibility in Nigeria. The Code of Best Practice produced by the Cadbury Committee on the Financial Aspects of Corporate Governance may be viewed as an ethical code in that it prescribes standards of board behaviour. The Code’s specific recommendations with regard to audit committees appear to offer a practical mechanism for the promotion of ethical behaviour through the inhibition of potentially unethical influences exerted by executive directors over external auditors. The rationale for these recommendations centres on the independence of audit committee members, (...) implying that independence is a prerequisite for ethical behaviour. This paper questions the assumptions regarding the role of independence through an exploration of conceptions of independence held by individuals involved in the activities of audit committees in major UK public limited companies. It suggests that audit committees may have an unarticulated role in providing an arena for the display of independence by the participants. This display forms a part of the ceremonial performance which builds confidence in corporate governance mechanisms. (shrink)

Coxon's presentation of the complete ancient evidence for Parmenides and his comprehensive examination of the fragments, unsurpassed to this day, have proven invaluable to our understanding of the (...) Eleatic since the book's first publication in 1986. This edition, edited by Richard McKirahan and with a new preface by Malcolm Schofield, is released on the 100th anniversary of Coxon's birth. This new edition for the first time includes English translations of the testimonia and of any Ancient Greek throughout the book, as well as an English/Greek glossary by Richard McKirahan, and revisions by the late author himself. The text consists of Coxon's collations of the relevant folios of manuscripts of Sextus Empiricus, Proclus and Simplicius and includes all extant fragments, a commentary, the testimonia, a complete list of sources, linguistic parallels from both earlier and later authors, and the fullest critical apparatus that has appeared since Diels’ _Poetarum Philosophorum Fragmenta _. The collection of testimonia includes the philosophical discussions of Parmenides by Plato, Aristotle and the Neoplatonists, most of which had been omitted by Diels. The introduction discusses the history of the text, the language and form of the poem, Parmenides’ use and understanding of the verb ‘to be’, his place in the history of earlier and later philosophy and the biographical tradition. In the commentary Coxon deals in detail with both the language and the subject matter of the poem and pays full attention to Parmenides’ account of the physical world. Frederick the Great of Prussia was hailed by many as the model of an ‘Enlightened Despot’. Historians continue to debate both the concept of ‘Enlightened Despotism’ and Frederick’s credentials as an enlightened monarch. Should we talk in terms of ‘enlightened absolutism’? Of ‘reform absolutism’? Or simply drop the use of any such terms for a monarch who used his enlightened philosophising and flute playing as window dressing for a system of governance that was essentially conventional absolutism? In light of continuing (...) debate about the nature of Frederick’s reign, it is worth revisiting the views of contemporaries. As a friend of Voltaire, Frederick’s place was well established in traditional depictions of the Enlightenment as centred on the French philosophes. In the past two decades, however, scholars have broadened and deepened our conception of Enlightenment by researching the ‘social history of ideas’ and illuminating Enlightenment in various national and cultural contexts. In this vein, an analysis of perceptions of Frederick the Great can shed light on the nature of Enlightenment in Britain. Frederick’s popularity in Britain reached dizzying heights in the late 1750s as he won spectacular victories in the Continental campaign against Britain’s enemies in the Seven Years War. From the 1760s on, however, British opinion was generally critical of his regulated and militaristic state and his aggrandisement through diplomacy. While it is not within the scope of this essay to explore broader perceptions of Frederick II in late eighteenth-century Britain, it appears that writers who can be located within ‘conservative’ enlightened thought had a more positive perception of Frederick than dissenters. Samuel Johnson declared that the King of Prussia could get away with wearing plain cloths because ‘of the dignity of his character’. On separate occasions in 1780 Edmund Burke praised Frederick for the economy and efficiency of his royal court and for his religious toleration. An article is in preparation that will explore the range of British opinion on Frederick the Great at the end of his long reign. This essay, however, will focus on how some leading Rational Dissenters perceived the self-consciously enlightened King of Prussia, and provide an exposition of the Memoirs of the life and reign of Frederick (1788) by Joseph Towers.
